Corporate lawyers have a variety of duties and responsibilities; their work is no less important or difficult than litigation. When it comes to corporate law practice areas, there are four main categories: Formation & Governance, Mergers & Acquisitions, Private Equity & Funds, and Data & Technology Security. All corporate specialties fit into one or more of these categories.

Formation & Governance focuses on the mechanics of a business’s formation so the entity runs efficiently and effectively and complies with laws. Formation & Governance lawyers know the ins and outs of different business structures, and frequently file regulatory paperwork as directed by the New York Stock Exchange, Nasdaq Stock Exchange, Securities and Exchange Commission, and other regulatory bodies.

Mergers & Acquisitions lawyers oversee the marriage of two or more companies. They do this by drafting confidentiality agreements, purchase agreements, offering memoranda, and other documents. Their work also involves helping clients through the “due diligence” process so all parties understand the deal they’re entering.

Lawyers in Private Equity & Funds specialize in helping private equities and hedge funds operate in the global economy. Funds are subject to fewer regulations and are able to invest in all kinds of opportunities, including highly speculative futures, derivatives, and options.

Data & Technology Security lawyers help companies control data and comply with domestic and international laws. They have to stay on top of current technologies and Internet trends. They tend to be knowledgeable about computer law, e-commerce, outsourcing, consumer protection, cybersecurity issues, records retention, and social media.

Finance lawyers help financial institutions and companies with their borrowing and lending matters. They also assist with investing and risk-management. Finance Law practice areas include Capital Markets, Venture Capital, Banking & Leveraged Credit, Structured Finance & Securitizations, Real Estate & REITs, Project Finance, Transportation Space & Maritime, Workouts & Distressed Debt, and Regulatory.
